This document is a non-binding letter which allows both parties to provide confirmation that they intend to reach a formal contract at some time in the future. Such a document may be used by one party or both to provide assurances to finance providers, landlords or other bodies that it is anticipated that a contract will be concluded shortly.
The document can be used to also ensure that information exchanged between the parties is kept confidential and used only for the purposes of agreeing a contract.
The document is not intended to create any legal relations between the two parties with regards to the subject matter of the negotiations. If confidentiality clauses are included however it should be noted that the parties will be legally bound by these.
In particular this document will not bind either party to any terms yet proposed, nor guarantee that any final deal will be reached. It will also provide no guarantees or security that either party is acting in good faith or has not made any misrepresentations. Neither party will be bound to any substantive agreement until a final contract is concluded. Consequently each party should conduct any necessary checks, surveys and/or due diligence required prior to any final agreement.
